1. About this agreement

These Terms and Conditions ("Terms") govern your access to and use of the BiogasMart platform ("Platform"), operated by BiogasMart ("we", "us", "BiogasMart"). The Platform connects verified Bio-CNG plant manufacturers and sellers ("Sellers") with organisations and individuals seeking to procure Bio-CNG plants or related infrastructure ("Buyers") across India.

By registering as a Seller, submitting a Buyer requirement, or browsing the Platform, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Platform immediately.

2. User categories and eligibility

General eligibility

• Users must be at least 18 years of age and legally capable of entering into binding contracts under Indian law
• Use of the Platform for personal, non-commercial purposes is not permitted; this is a B2B marketplace
• You represent that any information provided to the Platform is accurate, current, and complete

Buyers

• Any individual, company, or organisation may submit a requirement form as a Buyer
• Buyers do not need to register an account to submit a requirement
• By submitting a requirement form, Buyers expressly consent to their contact and project details being shared with matched verified Sellers

Sellers

• Sellers must complete the registration and verification process before their listing goes live
• Only businesses with a valid GST registration and verifiable presence in the Bio-CNG plant supply chain are eligible to list
• Sellers must maintain accurate listing information at all times

4. Lead sharing — buyer requirements

• When a Buyer submits a requirement form, BiogasMart reviews and matches the requirement against registered Sellers based on capability, region, and capacity
• Buyer contact details and project information are shared with matched Sellers per requirement
• Once a lead is delivered to a Seller, BiogasMart cannot retract or control further communication between Buyer and Seller
• Buyers may not submit false, speculative, or duplicate requirements; doing so may result in removal from the Platform
• BiogasMart reserves the right to reject or hold requirements that appear incomplete, fraudulent, or outside the Platform's scope

5. Seller obligations

• Sellers must provide accurate business details, product specifications, and service coverage areas during registration
• Sellers must respond to matched leads in a professional and timely manner
• Buyer lead data shared by BiogasMart may only be used to respond to the specific requirement for which it was shared — it may not be used for unsolicited marketing, resale, or any other purpose
• Sellers must not misrepresent their capabilities, certifications, capacity, or pricing to Buyers
• Sellers must promptly inform BiogasMart of any change in business status, GST registration, operational address, or product range
• Sellers must not attempt to circumvent BiogasMart's platform fees by redirecting Buyers to direct channels before a transaction is completed, where such circumvention is prohibited under the applicable subscription plan

6. Fees, subscriptions, and payments

• Seller listing and lead access may be subject to subscription fees, pay-per-lead charges, or a combination, as per the plan selected at registration
• All fees are inclusive of applicable GST and are stated in Indian Rupees (INR)
• Subscription fees are non-refundable except where BiogasMart has failed to deliver the contracted service due to a platform error
• BiogasMart reserves the right to revise pricing with a minimum of 30 days' prior notice to active Sellers
• Failure to pay dues may result in temporary suspension or permanent removal of a Seller listing
• Buyer requirement submission is currently free of charge; BiogasMart reserves the right to introduce Buyer-side fees in the future with prior notice

7. Seller verification

• BiogasMart conducts a verification process that may include GST number validation, document review, and reference checks
• Verified status is granted at BiogasMart's sole discretion and may be revoked if a Seller is found to have submitted false documents or received substantiated complaints
• Verification is not a guarantee of the Seller's financial stability, product quality, or delivery capability
• BiogasMart may periodically re-verify Sellers and request updated documentation

9. Disclaimers and limitation of liability

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied
• BiogasMart does not warrant uninterrupted or error-free access to the Platform
• BiogasMart is not liable for any loss, damage, or dispute arising from a transaction between a Buyer and a Seller
• BiogasMart is not liable for inaccurate or outdated information in Seller listings
• In no event shall BiogasMart's total liability to any user exceed the fees paid by that user to BiogasMart in the three months preceding the claim
• BiogasMart is not responsible for the quality, safety, compliance, or fitness for purpose of any Bio-CNG plant or equipment supplied by a listed Seller

10. Intellectual property

• All content on the Platform — including the BiogasMart name, logo, design, listings layout, and written content — is the intellectual property of BiogasMart or its licensors
• Sellers grant BiogasMart a non-exclusive, royalty-free licence to display their business name, logo, product descriptions, and contact details on the Platform for the purpose of the listing
• Users may not reproduce, redistribute, or use Platform content for any commercial purpose without prior written consent

11. Account suspension and termination

• BiogasMart may suspend or terminate a Seller account for breach of these Terms, non-payment, fraudulent activity, or repeated poor conduct toward Buyers
• Sellers may close their account by providing 30 days' written notice; unused prepaid credits or subscription fees are non-refundable upon voluntary closure
• Upon termination, the Seller's listing will be removed and lead access will cease; any Buyer leads already shared prior to termination remain subject to usage restrictions in Section 5
• BiogasMart reserves the right to blacklist entities that have been removed for fraudulent or abusive conduct

12. Modifications to terms

• BiogasMart may update these Terms at any time to reflect changes in law, platform features, or business practices
• Material changes will be communicated via email or prominent website notice at least 14 days before taking effect
• Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms
• It is the user's responsibility to review the Terms periodically

13. Governing law and dispute resolution

• These Terms are governed by and construed in accordance with the laws of India
• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through mutual negotiation within 30 days of written notice
• If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in India
• Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court
